Discussing Terms
Dialogue 1 A:So with our joint1 venture project,we're looking at profit chairing of 70:30 to benefit our chinese distributer.
B:Actually,we were hoping for something a little more even,it seems 70% is quite a large share of profits.
A:That's true, but they will be responsible for a greater percentage of the overhead. They are providing over 90% of stuff of the field offices and cooperate control of over half of the project.
B:I am not so sure we can agree to those terms. With sucn an overwhelming majority of stuff coming from their side,as well as coperate aspect,we wouldn't have much control over the direction of our investment.A joint venture is supposed to be both groups teaming up together, not one group making all the decisions.
A:It won't be like that, you see, they agree to keeping our people on the executive fort,we'll have a plenty of decision power for the capital where investing,it's just housekeeping and overhead that there folding bill for.
B:As expat ten to be more expensive
B:And that's enough to justify2 70:30 profits split? who agree to these terms anyway?
A:You did,last weekend negotiation3 session,remember?
B:Oh,dear.
Dialogue 2 A:We've got a lot to discuss tonight, regarding to joint venture project, have you given much thought to the term of our agreement?
B:Yes,we spend many long hours and in discussion with our executive back headquarters, hammering out our goals for this venture,we're really excited to move forward with you on these projects.
A:Likewise, well one thing we need to discuss and agree upon is the profits distribution, based on the percentage overhead each party we'll absorb,we fill with a fair to offer a 50:50 profit chairing.
B:Split down the middle,uh,well i think that would probably be acceptable, but there is a matter of stuffing.
A:Yes,part of the overhead,of course.Since our offices will be located in Beijing,
we are expecting employee ?of 20% ?stuff,80% local hires. As expats tend to be more expensive to input,we're trying to encourage man local hires as ?.
B:This arrangement should be agreeable,i'll have to run it by our executive to be sure though.
